IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF SIGNISYS EXCEED INR 50,000 (INDIAN RUPEES FIFTY THOUSAND ONLY) OR, FOR CLIENTS WITH ACTIVE SERVICE ENGAGEMENTS, THE FEES PAID TO SIGNISYS IN THE TWELVE MONTHS PRECEDING THE CLAIM, WHICHEVER IS LOWER.

Nothing in these Terms shall exclude or limit liability that cannot be excluded or limited under applicable law, including the Consumer Protection Act, 2019.

Indemnification

You agree to indemnify, defend, and hold harmless Signisys, its directors, officers, employees, agents, and successors from all claims, liabilities, damages, losses, costs, and expenses (including legal fees) arising from your violation of these Terms, applicable law, or third-party rights; your use of the Website; your User Content; or any fraudulent or negligent conduct.

Dispute Resolution

Disputes shall first be resolved through good-faith negotiation within 30 days. If unresolved, either party may initiate arbitration under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be New Delhi, India. The arbitration shall be conducted in the English language by a sole arbitrator mutually appointed by the parties. The arbitrator’s decision shall be final and binding.

Severability

If any provision is held invalid, it shall be modified to the minimum extent necessary or severed, without affecting the remaining provisions.

Waiver

Failure to exercise any right shall not constitute a waiver. Any waiver must be in writing and signed by an authorised representative of Signisys.

Assignment

You may not assign your rights or obligations without Signisys’ written consent. Signisys may freely assign its rights and obligations.

Notices

All formal notices to Signisys should be sent to legal@signisys.com. Notices from Signisys to you may be sent to the email address you have provided or posted on the Website. Notices posted on the Website shall be deemed received upon posting. Email notices shall be deemed received 24 hours after sending.

Survival

The provisions of these Terms relating to intellectual property rights, disclaimer of warranties, limitation of liability, indemnification, governing law, dispute resolution, and any provisions that by their nature should survive, shall survive the termination or expiry of these Terms.

Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Signisys regarding the Website.

Force Majeure
